1. Acceptance of Terms
By accessing or using a Skylark service, you agree to these Terms and any applicable policies presented with that service. If you do not agree, do not use the applicable service. Where a feature has additional terms, those terms apply to that feature as explained when it is offered.
Skylark may publish updated Terms and identify material revisions by changing the Last Updated date or providing notice through the relevant service where appropriate.
2. Skylark Services
Skylark Asia PH is a brand and website of NORTVALE IMPERIAL. In these Terms, “Skylark,” “we,” or “us” refers to NORTVALE IMPERIAL. These Terms may cover Skylark’s corporate website, Buyer services, Seller services, the marketplace, Creator/Affiliate features, social/video features, messaging, and TikTok or other approved third-party integrations when those services are made available.
Features may differ by service, location, account, or availability. A description in these Terms does not promise that a particular feature is currently available.
3. Skylark accounts and account security
Public browsing does not require a Skylark account. Where an account is required, provide accurate information, keep sign-in credentials secure, and do not use another person’s account without authority.
You must be at least 18 years old to use Seller or Creator/Affiliate accounts, connect TikTok or another external platform, sell through the marketplace, or receive a payout or creator earnings. You are responsible for activity under your Skylark account, subject to applicable law. Tell Skylark through its Contact page if you believe an account has been accessed without permission.
4. Seller and creator responsibilities
If you use a Seller, Creator, or Affiliate feature, you are responsible for the products, listings, media, statements, and other material you submit or authorize. Keep information accurate, have the rights and permissions needed for your material, and comply with applicable law, platform rules, product-specific restrictions, and the policies presented for the feature. Do not make unsupported safety, performance, origin, or health claims.
Creators remain responsible for deciding which public TikTok videos they authorize Skylark to display and for ensuring that their authorization is valid. Skylark does not verify that a creator owns every element in a video.
5. Connecting a TikTok account
If Skylark offers the TikTok connection feature, connect an account only if you own it or have authority from its owner to authorize Skylark. You authorize Skylark to access the account data and display the public videos TikTok makes available for that account through the permissions you approve. Authorization takes place through TikTok’s official process. Sign in and approve permissions directly with TikTok; never send Skylark a password, OTP, authorization code, access token, or refresh token. Each TikTok account must be authorized separately.
You may disconnect an account through Skylark settings or revoke its permission through TikTok. Skylark uses TikTok’s official APIs and supported embed/player mechanisms to display authorized videos with TikTok attribution. Authorization does not transfer ownership of your account or videos.
6. TikTok video display and attribution
If the integration is available, Skylark may use TikTok’s official APIs and supported embed/player mechanisms to synchronize permitted public-video metadata and display TikTok videos. Creator identity and TikTok attribution remain associated with each displayed video. Skylark does not download TikTok video files, remove watermarks, or re-upload TikTok videos as Skylark-native content.
Display depends on TikTok’s API, the video’s availability and visibility, the permissions you granted, and TikTok’s technical and platform requirements. A video or its metadata may not appear, may appear after a delay, or may stop playing if TikTok changes access, removes the content, expires a reference, or changes its service.
TikTok is a third-party service. Your TikTok use and TikTok’s processing are subject to TikTok’s terms, privacy notices, and platform rules.
7. Video content and intellectual property
You retain any rights you hold in content you create or own. To the extent you submit or authorize content for Skylark, you give Skylark limited, non-exclusive permission, only as necessary to display the content you authorize, operate the Skylark features you use, generate technically necessary previews, associate content with products you choose, and moderate or remove content when required. This permission does not transfer ownership to Skylark.
TikTok videos remain hosted by TikTok. Skylark displays them through TikTok’s official APIs and embed/player mechanisms, with required attribution. Skylark does not download or rehost TikTok video files or remove TikTok watermarks.
Skylark names, logos, software, and other Skylark materials belong to their respective rights holders. These Terms do not grant permission to copy or misuse them. TikTok names, marks, and video content remain subject to their respective owners’ rights and applicable TikTok terms.
8. Product links and the product basket
A connected video may have no product link or may link to an existing Skylark product detail page. The yellow product basket takes a viewer to that Skylark page. Product identity and destination use Skylark’s existing product catalog. A video creator’s link does not change the TikTok content or promise that a product is available, suitable, or endorsed by TikTok. Product details and any transaction terms shown in the Skylark product or checkout flow govern that product experience.
A video appearing in For You or linking to a product does not by itself promise payment or compensation. Affiliate commissions, creator payouts, sponsorships, or revenue sharing are governed by separate applicable program terms and disclosures if and when those programs are enabled.
9. TikTok metrics and Skylark activity
When TikTok metrics are available, views, likes, comments, and shares returned by TikTok are TikTok-reported metrics for that TikTok video. Skylark keeps those source metrics distinct from activity measured by Skylark. A Skylark like, comment, share, view, save, or other interaction, if offered, does not change the corresponding TikTok count or post an interaction to TikTok unless TikTok separately provides and Skylark expressly identifies an authorized feature for that action.
10. Marketplace listings and transactions
A TikTok video or product link alone is not a purchase confirmation. The applicable product information, seller information, checkout terms, payment terms, delivery terms, returns and refunds rules, and other transaction-specific policies presented for a purchase govern that transaction. Review those terms before completing it; do not rely on a video caption as a substitute for them.
11. Prohibited use and content
Do not use Skylark for illegal activity, fraud, infringement, impersonation, unauthorized access, harmful or malicious activity, security abuse, marketplace manipulation, or engagement manipulation. Do not misuse another user’s account or information, bypass TikTok permissions or access controls, or ask Skylark to download, remove attribution from, or re-upload TikTok videos. Additional feature-specific restrictions may apply when presented.
12. Third-party platforms and links
TikTok and other third-party platforms are operated independently from Skylark. Their websites, apps, APIs, embeds, terms, privacy policies, and availability are controlled by those providers. Skylark does not control their services. Review the terms and privacy information of a third-party service before using it.

13. Availability and service changes
TikTok may change its APIs, scopes, platform requirements, video availability, embed player, or terms. Those changes can delay synchronization or prevent an account or video from connecting or displaying. Skylark does not promise uninterrupted or real-time synchronization of TikTok content.
14. Disconnecting accounts, suspension, and termination
You may disconnect a TikTok account through Skylark settings or revoke its authorization through TikTok. Skylark immediately stops future synchronization, removes the videos from active For You eligibility, deletes stored tokens and expiry values, and attempts TikTok authorization revocation. See the Privacy Policy for the schedule and exceptions for deleting disconnected account and video metadata.
Skylark may restrict or suspend a feature or account for fraud, abuse, security concerns, unauthorized access, violations of these Terms, legal requirements, or requirements imposed by TikTok or another service provider. You may contact Skylark through its support channel where appropriate. Account closure does not by itself delete information that the Privacy Policy says may be retained.
15. Disclaimers and limits
Skylark services may change, be interrupted, or become unavailable, including when a third-party provider changes or withdraws a service. These Terms do not exclude or limit any right that cannot legally be excluded or limited.
16. Governing law and contact
These Terms and Skylark services are subject to applicable laws of the Philippines.
